Seller Agreement

The contract you accept when you list products on Khaleeja. Designed to be clear, fair, and consistent with GCC commercial law.

Eligibility

To list on Khaleeja, your business must:

  • Be a registered legal entity (LLC, sole establishment, or freelancer permit) in a GCC country.
  • Have documented 51%+ female ownership — verified via trade licence and shareholder records.
  • Hold all sector-specific approvals (e.g. Dubai Municipality for food, MOH for cosmetics, ESMA conformity for relevant products).
  • Maintain a compliant trade licence; expired licences trigger immediate listing pause until renewed.

Verification (KYC / KYB)

Verification is an ongoing requirement, not a one-time check. We verify:

  • Trade licence (active, matches the founder on her ID).
  • Founder's Emirates ID / national ID and passport.
  • Ultimate Beneficial Owner declaration per UAE Cabinet Decision No. 58/2020 — every shareholder above 25%.
  • AML / sanctions screening of the company and shareholders.
  • VAT registration where applicable (TRN required if annual turnover exceeds the FTA threshold).

Verification is renewed annually. We may pause your listings if any document becomes invalid; we will give you 14 days' notice and a clear remediation path.

Payout schedule: Weekly, every Monday, for orders delivered and outside the 14-day return window. Minimum payout AED 100; smaller balances roll forward.

Bank account: Payouts go to a UAE / GCC IBAN registered to the legal entity (not personal accounts). We use Stripe Connect / local bank rails; settlement timeline varies by country.

Listing standards

  • Accurate product titles, descriptions, materials, dimensions, and care instructions in English (Arabic encouraged).
  • Photos must be your own or licensed; minimum 1200px on the long edge; on-brand backgrounds.
  • Pricing in AED. We round to the nearest dirham at display time.
  • Stock counts kept up to date — overselling triggers buyer compensation at your cost.

Fulfilment standards

  • Dispatch within the timeframe shown on the product page (default: 1–2 business days for stocked items, longer for made-to-order).
  • Use Aramex labels generated from the maker dashboard — do not use third-party couriers without prior approval.
  • Pack to GCC norms: damage-resistant, branded if possible, with a packing slip.
  • Mark items shipped in the dashboard within 24 hours of dispatch with the AWB number.

Cancellation rate: Maker-cancelled orders should not exceed 3% in any rolling 30-day window. Persistent breaches lead to listing pause.

Returns and refunds

Khaleeja honours the buyer's 14-day return right per the Returns Policy. Refunds for damaged / defective / not-as-described items are deducted from your next payout. For change-of-mind returns, the buyer pays return shipping (outside UAE) and the refunded item value is deducted from your payout.

Intellectual property

You confirm that everything you list is your own original work or that you have full rights to sell it. Counterfeit goods, replicas of luxury brands, or items using protected designs without licence will be removed and the seller account terminated. See our IP & Counterfeit Policy.

Brand use

You may describe yourself as a “Khaleeja Verified Maker” once verified, and use the verified badge image (provided in your dashboard) on your own marketing. The Khaleeja wordmark and the badge remain Khaleeja IP and may not be modified.

Suspension and termination

  • Either party may end this agreement on 30 days' written notice, except for cause.
  • We may suspend or terminate immediately for: counterfeit goods, fraud, repeated late shipments, hostility toward buyers, or breach of AML / sanctions requirements.
  • On termination, we hold final payouts for 60 days to cover potential refunds and chargebacks, then remit the balance.

Liability

You retain product liability — Khaleeja is the platform, not the manufacturer. You agree to indemnify Khaleeja for product-related claims that arise from your listings. Khaleeja's liability to a maker is capped at the platform fees you paid in the prior 12 months.

Governing law

This agreement is governed by UAE law as applied in Dubai. Disputes go first to good-faith negotiation, then to mediation in Dubai, then to the Dubai Courts.
